Terms of Service for Eulexia Tutoring

1. Agreement to Terms
Welcome to Eulexia Tutoring ("Eulexia Tutoring", "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website www.eulexiatutoring.com, our online tutoring services, and any other related services we provide (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy (which you can find at Privacy Policy). If you do not agree to these Terms or the Privacy Policy, you must not access or use our Services.
If you are a parent or guardian enrolling a child (a "Minor") in our Services, you are entering into this Agreement on behalf of yourself and the Minor, and you represent and warrant that you have the authority to agree to these Terms on behalf of the Minor. You are responsible for the Minor's compliance with these Terms.
2. Our Services
Eulexia Tutoring provides online educational tutoring services in areas including, but not limited to, literacy, world languages, cognitive skills, and general academic subjects, as well as parent instructional training and workshops (the "Programs"). Detailed descriptions of our Programs, including scope, duration (where applicable), and specific learning objectives, are available on our website or will be provided to you prior to enrollment.
We reserve the right to modify, suspend, or discontinue any aspect of our Services or Programs at any time, with or without notice to you, although we will endeavor to provide notice of material changes.
3. User Accounts and Registration
To access certain features of our Services, you may be required to create an account. You agree to:
Provide true, accurate, current, and complete information about yourself (and your child, if applicable) as prompted by the registration form.
Maintain and promptly update your registration data to keep it true, accurate, current, and complete.
Maintain the security of your password and accept all risks of unauthorized access to your account.
Promptly notify us if you discover or otherwise suspect any security breaches related to the Services or your account.
You are responsible for all activities that occur under your account.
4. Fees, Payments, and Refunds
A. Fees: Fees for our Programs and Services will be set out on our website or in a separate agreement provided to you. All fees are in USD and are subject to change with prior notice.
B. Payment: You agree to pay all fees and applicable taxes incurred by you or anyone using an account registered to you. We may use a third-party payment processor (Stripe, Paypal) to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to these Terms. We are not responsible for errors by the Payment Processor. Payment for services (e.g., tutoring packages, workshops) is typically due in advance, at the time of booking, or as otherwise specified in your service agreement.
C. Scheduling and Cancellation Policy (for Tutoring Sessions):
Scheduling: Tutoring sessions are scheduled in advance through our designated scheduling system or by mutual agreement. We recommend consistent scheduling (e.g., specific days and times each week) to ensure continuity and progress.
User Cancellations/Rescheduling: We understand that occasional schedule adjustments are necessary.
To cancel or reschedule a session without penalty, we require at least 24 hours advance notice.
Cancellations or rescheduling requests made with less than 24 hours notice may result in the session being forfeited or a cancellation fee of 50% of the session fee being charged, at our discretion.
No-shows (failure to attend a scheduled session without any prior notice) will result in forfeiture of the full session fee.
We may allow a certain number of "grace" reschedules per term/package (e.g., one reschedule with less than 24-hour notice per 10-session package) under specific circumstances, at our discretion.
Cancellations by Eulexia Tutoring: In the rare event that we need to cancel a scheduled session due to instructor illness or unforeseen circumstances, we will provide you with as much notice as possible. The session will be rescheduled at a mutually convenient time, or a credit for the session will be applied to your account.
D. Refund Policy:
Tutoring Session Packages:
If you choose to discontinue a pre-paid tutoring package before all sessions are completed, you may be eligible for a refund for unused sessions. The amount refunded will be calculated based on the number of unused sessions, potentially less any discount applied for the package rate (i.e., completed sessions may be charged at a standard single-session rate) and a reasonable administrative fee of 5% of the remaining balance.
No refunds will be issued for sessions that have already been completed or for sessions forfeited due to late cancellation or no-show as per our Cancellation Policy.
Workshops:
If you cancel your enrollment in a workshop at least 7 days prior to the workshop start date, you may receive a full refund.
Cancellations made less than 7 days but more than 48 hours before the workshop start date may be eligible for a full refund minus an administrative fee of 5% the cost of the workshop.
No refunds will be issued for cancellations made less than 24 hours before the workshop start date or for no-shows.
If Eulexia Tutoring cancels a workshop, registered participants will receive a full refund.
Initial Assessments/Consultations: Fees for any initial assessment or paid consultation sessions are generally non-refundable once the service has been rendered.
Requesting Refunds: All refund requests must be submitted in writing to billing@eulexiatutoring.com. We will process eligible refunds within 7-30 business days of approval.
5. User Conduct and Responsibilities
You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited behavior includes:
Harassing or causing distress or inconvenience to any person.
Transmitting obscene or offensive content or disrupting the normal flow of dialogue within our Services.
Attempting to gain unauthorized access to our computer systems or engaging in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of our Services.
Sharing account credentials or allowing unauthorized individuals to access your account or participate in sessions.
Recording sessions without explicit prior written consent from Eulexia Tutoring and all participants.
Violating any applicable laws or regulations.
We reserve the right to terminate your access to the Services for violations of these conduct rules.
6. Intellectual Property Rights
All content and materials provided as part of the Services, including but not limited to text, graphics, website design, logos, audio, video, and software (collectively, "Our Content"), are the property of Eulexia Tutoring or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Our Content solely for your personal, non-commercial educational purposes in connection with the Services. You agree not to reproduce, redistribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of Our Content without our express prior written consent.
7. Disclaimers
THE SERVICES AND ALL INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) AND OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES ARE PROVIDED BY EULEXIA TUTORING ON AN "AS IS" AND "AS AVAILABLE" BASIS, UNLESS OTHERWISE SPECIFIED IN WRITING. EULEXIA TUTORING MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES, OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES, UNLESS OTHERWISE SPECIFIED IN WRITING. YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
TO THE FULL EXTENT PERMISSIBLE BY LAW, EULEXIA TUTORING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. EULEXIA TUTORING DOES NOT WARRANT THAT THE SERVICES, INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE SERVICES, EULEXIA TUTORING'S SERVERS OR ELECTRONIC COMMUNICATIONS SENT FROM EULEXIA TUTORING ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WHILE WE STRIVE TO PROVIDE EFFECTIVE EDUCATIONAL SUPPORT, EULEXIA TUTORING DOES NOT GUARANTEE ANY SPECIFIC ACADEMIC OUTCOMES, GRADE IMPROVEMENTS, OR TEST SCORE INCREASES. EDUCATIONAL PROGRESS IS DEPENDENT ON VARIOUS FACTORS INCLUDING STUDENT EFFORT, ENGAGEMENT, AND INDIVIDUAL LEARNING CHARACTERISTICS.
8. Limitation of Liability
TO THE FULL EXTENT PERMISSIBLE BY LAW, EULEXIA TUTORING WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF ANY EULEXIA TUTORING SERVICE, OR FROM ANY INFORMATION, CONTENT, MATERIALS, PRODUCTS (INCLUDING SOFTWARE) OR OTHER SERVICES INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH ANY EULEXIA TUTORING SERVICE, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
9. Indemnification
You agree to defend, indemnify, and hold harmless Eulexia Tutoring, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
10. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of, or related to them, shall be governed by and construed in accordance with the internal laws of the State of Oregon, United States of America without giving effect to any choice or conflict of law provision or rule.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Oregon, County of Marion.
11. Termination
We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Changes to Terms of Service
We reserve the right, in our sole discretion, to change, modify, add, or remove portions of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the Services following the posting of changes will mean that you accept and agree to the changes. We will endeavor to provide notice of material changes, for example, by posting a notice on our website or sending an email to the address associated with your account.
